Welcome to allwis.ai. These Terms of Use (“Terms”) govern your access and use of our AI-powered spreadsheet assistant services, including allwis.ai, allwis for Excel, and allwis for Google Sheets (“Services”). By using our Services, you agree to these Terms.

If you do not agree, you may not use the Services.

1. Overview of the Services

allwis.ai offers AI-enhanced functionality for spreadsheets through prompt generation, LLM integration, and output rendering in Excel and Google Sheets. Users configure their own LLM API keys (e.g. OpenAI, Claude, Llama, etc.) and retain responsibility for data exchanged with those third-party services.

2. Account & Access

You must be at least 18 years old and capable of entering into a legal agreement.

You are responsible for all activity occurring under your access credentials.

Access may be revoked at any time for violations of these Terms or applicable laws.

3. Subscription Plans

We offer tiered pricing:

Basic ($29/user/month): Core prompt features, one LLM, limited categories.

Pro ($99/user/month): Multi-LLM, advanced categories, output validation.

Enterprise (Custom): Includes centralized prompt logging, admin controls, and governance.

Pricing may change with prior notice.

4. Data Usage & Ownership

You retain full ownership of your spreadsheet data and any prompts you input.

We do not claim any ownership over inputs, formulas, or spreadsheet contents.

All LLM calls are made under your provided API key, and subject to those providers’ terms.

5. Prompt & Output Handling

Depending on your subscription tier:

Prompt content and metadata (e.g., model used, time, prompt type) may be logged for analytics, governance, and performance scoring.

LLM outputs may be temporarily held in memory for validation or formatting enforcement but are not persistently stored unless configured by Enterprise users.

Enterprise customers may configure logging and retention policies.

6. Third-Party Services

You are responsible for:

Complying with the terms of the LLM providers whose APIs you connect (e.g. OpenAI, Anthropic).

All API usage charges and data sharing with those services.

We do not control or take responsibility for responses generated by external LLMs.

7. Acceptable Use Policy

You agree not to:

Use the Services for unlawful or harmful activities (e.g. hate speech, fraud).

Attempt to reverse engineer, tamper with, or overload our systems.

Use shared API keys across multiple accounts without a license.

We reserve the right to suspend or terminate accounts violating this policy.

8. Security & Availability

We apply industry-standard security practices to protect your data and logs.

While we aim for high uptime, we do not guarantee uninterrupted access.

Features may change or be deprecated at our discretion.

9. Warranties & Disclaimers

The Services are provided “as is” and “as available.”

We do not guarantee:

Accuracy of LLM results,

That outputs will be fit for a particular purpose,

That data will not be lost (unless under Enterprise logging).

We disclaim all warranties to the extent permitted by law.

10. Limitation of Liability

To the fullest extent allowed:

Our liability is limited to the amount paid by you in the past 3 months.

We are not liable for any indirect, incidental, or consequential damages arising from use of the Services.

11. Termination

You may stop using the Services at any time.

We reserve the right to suspend or terminate your access at any time, especially if:

You breach these Terms,

Your use puts other users or systems at risk.

12. Changes to These Terms

We may revise these Terms with notice. Continued use of the Services constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of Australia or Delaware, USA (for all others), unless otherwise required by local laws.
